Terms of Service

Welcome to RWRD ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the RWRD Enterprise Intelligence Platform, including our website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

RWRD is an enterprise intelligence platform that helps organizations:

• Track Objectives and Key Results (OKRs)
• Monitor financial metrics and key performance indicators
• Manage risk categories, risk indicators, and Key Risk Indicators (KRIs)
• Visualize metric relationships through network analysis and mapping
• Generate AI-powered insights, recommendations, and reports
• Conduct scenario analysis ("What If") for strategic planning
• Access research intelligence including web-sourced market data and SEC EDGAR filings

The Service is designed for business use and is not intended for personal, consumer applications.

2. Beta Services

2.1 Beta Status

The Service is currently offered as a Beta product. By using the Service during the Beta period, you acknowledge:

• The Service may contain bugs, errors, or defects that could affect functionality, data display, or performance
• Features may be added, modified, or removed at any time without prior notice
• The Service may experience downtime, interruptions, or degraded performance
• Data formats, APIs, and integrations may change between Beta releases
• Documentation may not fully reflect current functionality

2.2 Beta Feedback

We encourage you to report bugs, provide feedback, and suggest improvements during the Beta period. Feedback may be submitted to support@rwrd.ai. Any feedback is subject to Section 9.2 (Feedback) of these Terms.

2.3 Beta Pricing

Subscription pricing during the Beta period may differ from general availability pricing. We will provide at least 30 days' notice before any pricing changes that would affect your subscription.

2.4 Transition to General Availability

When the Service transitions from Beta to general availability, we will notify you at least 30 days in advance. Your Data will be preserved. Updated Terms may apply.

2.5 No Beta SLA

During the Beta period, we do not provide any service level agreement (SLA), uptime guarantee, or support response time commitment. We will use commercially reasonable efforts to maintain the Service.

3. Service Availability and Restrictions

3.1 Geographic Availability

The Service is NOT available in the following jurisdictions:

We use IP-based geolocation to enforce these restrictions. Your IP address is checked against sanctioned jurisdictions; results are cached locally on your device for up to 24 hours.

3.2 Compliance with Laws

By using the Service, you represent that you are not located in or a national of any restricted country, not on any U.S. Government prohibited parties list, and will not use the Service in violation of export control laws.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time. During the Beta period, modifications may occur more frequently.

4. Account Registration

4.1 Eligibility

You must be at least 18 years old and have authority to bind your organization.

4.2 Account Security

• Maintain the confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access
• Enable multi-factor authentication (MFA) if available and recommended

4.3 Authentication Methods

The Service supports email/password (with optional TOTP-based MFA) and Google Single Sign-On (SSO).

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful business purposes in accordance with these Terms.

5.2 Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal purpose
• Upload viruses, malware, or malicious code
• Attempt unauthorized access to the Service or its systems
• Scrape, crawl, or use automated means without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service
• Use the Service for HIPAA or PCI-DSS regulated data without a separate agreement
• Attempt to manipulate or exploit AI features through prompt injection or adversarial inputs
• Misrepresent AI-generated analysis as human professional advice
• Exceed documented rate limits or attempt to circumvent them

6. Your Data

6.1 Ownership

You retain all rights to the data you input ("Your Data"). We do not claim ownership of Your Data.

6.2 License to Us

You grant us a limited license to use, process, and display Your Data solely to provide and improve the Service, including transmitting it to third-party service providers as described in Section 7 and our Privacy Policy. This license terminates when you delete Your Data or close your account.

6.3 Data Accuracy

You are solely responsible for the accuracy, quality, and legality of Your Data. AI-generated analysis is only as reliable as the underlying data you provide.

6.4 Data Export

You may export Your Data at any time in JSON or CSV format. Upon account termination, a 30-day grace period is provided before permanent deletion.

6.5 Aggregated Data

We may use anonymized, aggregated data that does not identify you for analytics and Service improvement.

6.6 Data Residency

Your Data is stored in the United States. For EEA/UK users, transfers comply with Standard Contractual Clauses (SCCs).

6.7 Local Storage

The Service stores certain data locally on your device (browser localStorage) for performance and offline access, including cached dashboard data, preferences, and AI chat history. You are responsible for the security of your local device.

7. AI-Powered Features

7.1 Overview

The Service includes AI-powered features that analyze Your Data and provide insights, recommendations, and reports. These features support — not replace — your professional judgment.

7.2 AI Capabilities

7.3 No Guarantee of Accuracy

We do not guarantee accuracy, completeness, timeliness, or suitability of AI-generated content. You should verify recommendations before acting, use professional judgment, and treat AI outputs as supplementary inputs.

7.4 Third-Party AI Services

AI features are powered by Anthropic's Claude language models. Your use of AI features is subject to Anthropic's terms and acceptable use policy.

7.5 AI Data Processing

What is sent to AI providers:

• Your text prompts and messages, and images uploaded for analysis
• Relevant metric context from your dashboard
• Company profile (name, industry, business description, ticker)
• Uploaded PDF documents for extraction
• Scenario parameters and search queries

What is NOT sent:

• Your password or authentication credentials
• Your payment information
• Other users' personal data

We do not permit AI providers to use Your Data to train their models. CSV files are processed locally and never transmitted. For Anthropic's data practices: anthropic.com/privacy.

7.6 AI Rate Limits

AI features are subject to rate limits for fair use and stability. Limits may be adjusted during the Beta period.

7.7 AI Disclaimers

All AI-generated content includes disclaimers. You agree not to remove, obscure, or misrepresent the AI-generated nature of such content when sharing it.

8. Subscription and Payment

8.1 Subscription Plans

The Service offers multiple tiers (Core, Professional, Strategic) with varying features. Current pricing is available at app.rwrd.ai. During Beta, introductory pricing may apply.

8.2 Billing

• Billed in advance monthly or annually
• All fees non-refundable except as required by law
• Pricing changes with 30 days' notice
• Annual subscriptions receive a discounted rate

8.3 Payment Processing

Payments are processed by Stripe, Inc. We do not store your full payment card details.

8.4 Late Payment

We may suspend your access if payment is not received within 15 days of the due date.

9. Intellectual Property

9.1 Our IP

The Service, including its design, features, content, and underlying technology, is owned by RWRD Innovations, Inc. and protected by intellectual property laws.

9.2 Feedback

If you provide feedback or suggestions, you grant us the right to use them without compensation or obligation.

9.3 AI-Generated Content

You may use AI-generated content internally within your organization. We retain all rights to the underlying AI prompts, system instructions, report templates, and analytical frameworks.

10. Confidentiality

10.1 Definition

"Confidential Information" means any non-public information disclosed by either party, including business data, technical information, and subscription terms.

10.2 Obligations

Each party agrees to protect Confidential Information with reasonable care, use it only for Service-related purposes, and not disclose to third parties without consent.

10.3 Exceptions

Exceptions include publicly available information, information known prior to disclosure, independently developed information, and legally required disclosure (with notice).

11. Third-Party Services and Sub-Processors

Material changes to sub-processors will be communicated via our Privacy Policy or direct notification.

12. Warranties and Disclaimers

12.1 Beta Disclaimer

12.2 General Disclaimer

Except as expressly provided, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.3 AI-Specific Disclaimers

AI-generated content is provided for informational purposes only and does not constitute professional advice. We are not a financial advisor, auditor, legal counsel, or risk management consultant. You are solely responsible for decisions made based on AI content.

AI outputs may contain errors, be inconsistent across interactions, reflect training data biases, miss material facts not in Your Data, and change as models are updated.

13. Limitation of Liability

13.1 Exclusion of Damages

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business interruption, or decisions made based on AI-generated content.

13.2 Cap on Liability

Our total liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim. For free tier or Beta trial users, total liability shall not exceed one hundred U.S. dollars ($100).

13.3 Exceptions

These limitations do not apply to willful misconduct or gross negligence, breach of confidentiality, breach of acceptable use terms, or amounts owed under payment terms.

14. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the Service, violation of these Terms, violation of third-party rights, Your Data, reliance on AI-generated content, and distribution of AI content without appropriate disclaimers.

15. Term and Termination

15.1 Term

These Terms remain in effect while you use the Service.

15.2 Termination by You

You may terminate your account at any time through account settings or by contacting us.

15.3 Termination by Us

We may terminate immediately for Terms violations, or with 30 days' notice for any other reason.

15.4 Effect of Termination

• 30-day grace period to cancel deletion and export Your Data
• Your right to use the Service ends immediately upon signing out
• After the grace period, all data is permanently and irreversibly deleted
• Surviving provisions: confidentiality, limitation of liability, indemnification, AI disclaimers

16. Changes to Terms

We may modify these Terms with at least 30 days' notice. Significant changes anticipated at transition from Beta to general availability. Continued use constitutes acceptance.

17. General Provisions

17.1 Governing Law

Governed by the laws of the State of Delaware, United States.

17.2 Dispute Resolution

Informal Resolution: Contact legal@rwrd.ai first and attempt informal resolution for at least 30 days.

Arbitration: If informal resolution fails, binding arbitration via the American Arbitration Association (AAA) in Wilmington, Delaware, or remotely.

Exceptions: Either party may seek injunctive relief for IP or confidentiality breaches.

Class Action Waiver: You agree to resolve disputes individually and waive class action participation.

17.3 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Data Processing Addendum, constitute the entire agreement.

17.4 Additional Provisions

• Severability: Unenforceable provisions do not affect remaining provisions
• No Waiver: Failure to enforce a right does not waive it
• Assignment: You may not assign without consent; we may assign freely
• Force Majeure: Not liable for failures due to circumstances beyond reasonable control, including natural disasters, war, government actions, internet disruptions, or third-party AI service outages
